Conservation agreements: samples to review

DRAFT FOR REVIEW · NOT AVAILABLE FOR SIGNING

These samples explain the proposed participation. Reading, printing or downloading this page does not submit an application, sign a contract or guarantee selection or payments. The site form remains a demonstration.

Amala Terravida is the proposed Colombian operator. Its exact registered name, NIT, representative and authority must be verified. Each contract needs parcel details, a funded budget, complete annexes and Colombian legal review before signing. These samples do not certify legal compliance or environmental approval.

Initial proposal: a funded 12-month pilot with written renewal. For a PSA arrangement, the reviewed regulation provides terms of up to five years with renewals; recording longer-term interest does not guarantee future funding. Spanish is the proposed language of the final contract.

2. Sample funded pilot agreement

1. Parties and authority

Between [exact registered name, NIT and address], represented by [authorized representative], the Operator, and [participant name, identification and address], acting as [documented capacity] in relation to [parcel]. Confidential Annex A records authority, evidence and any required co-owner or other rights-holder consents. Use Amala Terravida as the contracting name only when supported by its legal documents.

2. Purpose and covered area

The Participant will carry out Annex D activities and conserve [verified hectares], delineated in confidential Annex B. This agreement transfers no ownership, possession, lease, public access or registered property right. It does not itself register a nature reserve or bind third parties.

3. Start, term and funding

Proposed term: [start date] to [end date]. Work begins only after identities and authority are verified, annexes completed, baseline accepted, applicable permissions and processes fulfilled, and funding committed for the period in Annex C. This draft creates no additional conservation obligations before commencement. Each renewal requires written agreement, defined activities and funding. Expected fundraising is not committed funding. If PSA rules apply, the term and process must comply with them.

4. Payments and costs

The Operator will pay the Participant [COP amount] for [defined activity or service] under Annex C. Separately identify participant payments, monitoring, Living Places/operator fees, processing, taxes and other costs. No unagreed deductions apply. Once conditions and the relevant performance verification are met, payment falls due within [number] business days. The Operator supplies a receipt and understandable statement. Earned, undisputed payments remain due even if a later fundraising campaign is delayed.

Initial supplies or expenses, if any, have separate budget lines and conditions; they must not be described as earned PSA incentives without satisfying the applicable requirements. Disclose other programs funding the same activity to avoid duplicate payment or attribution for the same service.

5. Participant responsibilities

Maintain agreed uses, refrain from Annex D prohibited activities, permit only agreed safe visits, report material changes, fire, clearing, disputes or intended sale, and retain straightforward evidence of activities. No jaguar presence, wildlife increase, survival of every tree or carbon quantity is guaranteed. Duties are limited to the agreed area, activities and period, without reducing independent legal obligations.

6. Operator responsibilities

Coordinate review and monitoring, provide agreed assistance, meet payment dates, protect data, publish authorized reports and fund breakdowns, maintain a complaint channel [contact], and correct material public errors. The Operator may not sell environmental rights or claim exclusivity without a separate agreement. Earned payments must not depend on purchasing an NFT or opening a crypto wallet.

7. Monitoring and verification

The baseline records the date, private map, photographs, habitat cover and existing uses. Review [simple indicators] every [period]. Visits require [notice period] and accompaniment where agreed. Reports distinguish observation, participant statements and independent verification. The Participant receives the report and may respond within [period] before adverse decisions. Monitoring permits neither unrestricted access nor installation of unagreed equipment.

8. Data, photographs and transparency

Identity documents, banking information, precise coordinates and sensitive locations remain in restricted annexes. Public reports show general area, funded period, activities, aggregate amounts, fees and authorized evidence. Remove visible coordinates and location metadata from public photographs. Publishing bitcoin transaction links requires specific permission. Personal information and sensitive locations will not be placed on a blockchain. Legally required authority disclosure is limited to what is required.

9. Carbon, certificates and sponsors

This agreement neither issues nor transfers carbon or biodiversity credits, offsets or exclusive environmental attributes. Sponsors obtain no land, trees, visitation right, investment return or emissions offset. A support certificate acknowledges a contribution, not a carbon credit. Any future credit project requires assessment, rights review and a separate express agreement defining costs, risks, revenue sharing and allowed claims. No advance assignment or implied exclusivity applies.

10. Community and third-party rights

This agreement does not replace collective decisions, prior consultation or required authorizations, and does not restrict lawful access or uses by non-signatories. Activities affecting ethnic, ancestral or collective rights wait until applicable processes are fulfilled. Review restrictions and authorities for the actual parcel, not merely its proximity to Santa Marta.

11. Breach, remedy and external events

An affected party gives notice of facts, evidence and proposed action. Allow [reasonable period] to respond or cure, except necessary urgent measures to prevent harm. Any suspension must be proportionate and confined to the affected component, preserving earned undisputed payments. Assess fire, storms, threats and third-party acts beyond reasonable control individually. There is no automatic repayment of all historic payments. Recovery of improper or fraudulent payments requires evidence and the agreed process.

12. Termination, sale and closeout

Termination may follow written agreement, expiry without renewal or [grounds and notice period]. Reconcile earned payments, unused funds and safe-closeout tasks. Sale requires notice but does not automatically bind a buyer: obtain acceptance or close the agreement orderly. Administer sponsor contributions under their terms without undisclosed reassignment. Applicable confidentiality and legal duties survive.

13. Disputes, amendments and signing

Colombian law applies. Parties attempt direct resolution, then [accessible local conciliation mechanism], followed by competent courts if unresolved. Amendments require written acceptance. Proposed controlling language: Spanish. Annexes A–D form part of the final agreement; resolve any inconsistency in writing before signature. The final personalized agreement must identify signatories, dates, version and required consents, with a complete copy delivered to each party. This public draft cannot be signed on this website.

Signing takes place only on a personalized, reviewed and complete version, with a copy provided to each party. This page contains no signature fields.

4. Annex D — Proposed land uses

These are proposed contractual categories, not government permissions. Parcel restrictions and necessary authorizations apply. Map homes, farming and existing access separately; do not count excluded areas as funded habitat.

Hunting, trapping, burning, dumping and miningProhibited program activities. Review pre-existing lawful third-party rights before enrollment.

5. Sample corridor cooperation addendum

Parties and parcels: [each participant and map]. Objective: [habitat connection and supported ecological function]. Term, activities and funding: [dates and each parcel budget].

Each participant is responsible only for its own obligations. A private map identifies the proposed connection, gaps, roads, waterways and restoration strips. No ownership merger, public access, easement or third-party obligation is created. Access rights or registrable restrictions need their own instrument. A neighbor’s breach does not automatically remove another participant’s earned payments. Coordinate monitoring, complaints and incidents through [contact]. Describe the corridor as proposed or under restoration until sufficient evidence supports stronger claims.
